General Terms and Conditions (GTC) for the Online Shop of Holm AG

Please read the following General Terms and Conditions (GTC) for the online shop of Holm AG (shop.holmsweetholm.com) carefully before placing an order. By placing an order in the Holm AG online shop, you fully accept the following GTC. If you have any questions regarding these GTC, please contact us before placing your order at  shop@holmsweetholm.com. The following GTC may be amended at any time.

 

Scope and contracting party

These General Terms and Conditions (GTC) apply to contracts between Holm AG, Brandschenkestrasse 130, 8002 Zurich, Switzerland (hereinafter “holm°”) and you as the customer, which are concluded via the online shop on the holm° website.

Separate GTC apply to the stationary sale of furniture and furnishing items in the showroom and to the provision of interior design consulting and planning services.

 

Ordering process and conclusion of contract

By completing the payment process, you submit a binding offer to purchase the goods contained in the shopping cart and agree to these GTC.

The automatically sent order confirmation merely documents the receipt of your order by holm°, but does not yet constitute acceptance of your offer. If you do not receive an order confirmation, please check your entered email address and your spam folder or contact us at shop@holmsweetholm.com.

A contract is only concluded when holm° informs you by email that the goods are ready for collection (collection notification).

If the ordered goods are wholly or partially unavailable, holm° is entitled not to accept your offer or to accept it only in part. You will be informed accordingly in such a case. Payments already made for unavailable goods will be fully refunded.

If, after conclusion of the contract, it becomes apparent that the goods cannot be provided or can only be provided in part due to force majeure or other circumstances beyond holm°’s control, holm° is entitled to withdraw from the contract in whole or in part. Payments already made will be refunded accordingly. Further claims are excluded to the extent permitted by law.

 

No right of withdrawal

Swiss law does not provide a statutory right of withdrawal for online purchases.

Upon conclusion of the contract, your order is binding. Withdrawal or cancellation is only possible with the express consent of holm°. Statutory warranty rights in the event of defective goods remain unaffected.

 

Product descriptions, images and characteristics

holm° places great importance on presenting the offered products as accurately as possible. However, for technical reasons, images and representations in the online shop may differ from the actual goods.

In particular, products made from natural materials such as wood, leather, stone, wool, or textiles are unique and may differ from the displayed images in terms of structure, color, and surface. Such deviations do not constitute a defect.

 

Prices and payment

All prices in the holm° online shop are stated in Swiss francs (CHF) and include statutory value added tax.

holm° reserves the right to adjust prices at any time without prior notice. The price at the time of the order shall be decisive.

Payment shall be made exclusively via the payment methods offered in the online shop at the time of the order. Payment by invoice or upon collection is excluded.

 

Collection, collection period and storage fees

Goods ordered in the online shop must generally be collected at the collection location designated by holm°. holm° decides whether collection takes place in the showroom in 8002 Zurich-Enge or in the warehouse in 8045 Zurich-Binz.

You will be notified by email as soon as your order is ready for collection.

The goods must be collected within 14 days after receipt of the collection notification.

At the time of collection, the collection notification and a valid official photo ID (e.g. identity card, driver’s license, or passport) must be presented.

If the goods are not collected within this period, holm° is entitled to charge a storage fee of CHF 10 per day and per item, unless higher actual costs are proven.

If the goods are still not collected after granting a reasonable grace period, holm° is entitled to withdraw from the contract. Payments already made may be retained, less the incurred storage costs and a reasonable administrative fee.

holm° does not provide packaging material.

holm° is not obliged to provide carrying assistance. Carrying assistance can be arranged upon request and against separate compensation.

 

Liability

holm° shall only be liable for damages insofar as they were caused by intentional or grossly negligent conduct by holm° or its employees. Liability for slight negligence is excluded to the extent permitted by law. In particular, holm° shall not be liable for indirect damages, consequential damages, loss of profit, or other financial losses. Mandatory statutory liability remains reserved, in particular for personal injury and under the Product Liability Act.

 

Liability upon collection

Upon handover of the goods to you, responsibility for the goods passes to you. holm° shall not be liable for damages occurring after handover, in particular damages resulting from improper transport or improper handling by you or third parties.

 

Warranty and notification of defects

The warranty period for material and construction defects is two years from handover of the goods, unless the goods are used goods or display items or unless otherwise expressly agreed.

If the manufacturer grants a longer warranty period, only this manufacturer’s warranty shall apply.

 

Warranty for display items

Display items are considered used goods and are sold in their existing condition. Normal signs of use do not constitute a defect. The warranty period is one year from handover of the goods.

 

Inspection and notification obligation

You are obliged to inspect the goods immediately upon collection. Obvious defects or incorrect quantities must be reported in writing without delay, but no later than within five calendar days after collection.

Hidden defects must be reported in writing immediately after their discovery. If notification is not made in due time, the goods shall be deemed approved.

Excluded from the warranty are damages resulting from improper use, natural wear and tear, lack of care, improper handling or modification by you or third parties, as well as external influences such as moisture, heat, light, or mechanical stress.

In particular, no warranty is assumed for material-typical changes such as stress cracks, discoloration, or structural changes, insofar as these are material- or use-related.

In the event of a justified defect, holm° shall decide at its own discretion whether to remedy the defect by repair or replacement delivery. Further claims are excluded to the extent permitted by law.

In all cases, the return of goods requires the prior written consent of holm°.

  

Applicable law and place of jurisdiction

Swiss law shall apply exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The place of performance for all services is Zurich.

The place of jurisdiction for all disputes arising from or in connection with contractual relationships with holm° is Zurich, unless a mandatory statutory place of jurisdiction applies.

 

Severability clause

Should individual provisions of these GTC be wholly or partially invalid or become invalid, the validity of the remaining provisions shall remain unaffected.
